Inform Direct completes regular syncs with Companies House to ensure the information remains up to date. As part of these syncs, there may be occasions where inconsistencies are identified.

The sync process will identify changes to the statement of capital at Companies House. Should one of the below situations occur without the appropriate form being filed at Companies House then a discrepancy will appear:

  • Increase or decrease to the number of shares in issue
  • New classes of shares
  • Cessation of a class of shares
  • Change to the nominal value


 Note: Providing the correct share forms are filed at Companies House, there will be no discrepancy and this will instead appears as an unreconciled share class alert.


  

Inform Direct has 2 main categories for the alerts, these will be based on the filing which raised the difference:

  1. There is a discrepancy with a share class due to a confirmation statement filed outside of Inform Direct.
  2. There is a discrepancy with a share class due to a statement of capital filed outside of Inform Direct.


Note: The alerts could also appear for other changes such as second filings to previously submitted statements of capital or confirmation statements.


The yellow pencil under Actions will allow you to view the issue, confirm once it has been resolved or Ignore and remove the alert. 




View Issue (Recommended): 


This will reveal further information on the discrepancy. 


It will show:

  • Some text to explain the Companies House filing situation.
  • The Inform Direct share position prior to the sync.
  • The new total being returned by Companies House. 



In the example above, the share total on Inform Direct was 100 Ordinary £1 shares. The sync with Companies House is now returning a total of 200 Ordinary £1 shares.


The class total has therefore increased by 100 shares, but no filing had been made to Companies House to explain the change.


In this example, best practice would be to file an SH01 to provide a trail of how the shares increased by 100. 



Confirm resolved:


This should only be selected once the issue is corrected. In the example above, an SH01 would be filed to explain the increase in shares. 


Once it has been confirmed resolved the alert will immediately be removed.


If resolving the matter has changed the statement of capital at Companies House, the updated figures will be brought in via the next sync completed. This will show within a week of completion, or a new discrepancy alert will flag up if it still cannot be completed. 



Ignore and remove:


This is not recommended, it will immediately remove the notification. Please note that there is not a confirmation screen when removing the alert, it will immediately be deleted.
