How to set up Automated Confirmation Statement Workflows Inform Direct includes by default a statement of capital in each confirmation statement submission. You are able to choose whether you wish for this to be included or not.



The decision to include a statement of capital on each CS01 submission was to ensure that an updated electronic statement of capital exists at Companies House. 


The main reason for this is that there can be circumstances where a change to the capital has been made and not submitted to Companies House. For example, a change of share class name or change of prescribed particulars. Sending a current total ensures the information is up to date and easily accessible.


It is also helpful in the below situations:

  • The latest statement of capital will be clear. Often, where multiple share submissions are made on the same date, it can be inconsistent which Companies House pick up as the final position. The confirmation statement will supersede these to become the latest filing.
  • When paper based share filings such as SH08 forms are submitted these do not update the electronic Companies House record. The electronic statement of capital on a confirmation statement submits the share class data and prescribed particulars electronically. 


How to submit with 'no updates':


That said, we completely understand that some companies prefer for the confirmation statement description on the Companies House filing history to show 'no updates' as shown below.



Note: To submit 'no updates' it must be covering a period where no share transactions have taken place.


At the final step of the confirmation statement, after the approvals stage a summary screen will appear. On this page there is a section titled Statement of Capital as shown below:


The default setting is Yes, but can be edited to No using the buttons shown above to submit without updates.
