The Register of Capital Reorganisations is a record of every change to the capital structure of the company e.g. following a share split.


The details should include:

  • Date
  • Share Class
  • Transaction
  • Shareholder
  • No.of Shares
  • Amount payable (if any)

When the company is first set up with Inform Direct the Register of Capital Reorganisations will be empty.

As and when Inform Direct is used to process any Capital Reorganisations then the required details will be posted to this register.


To add details of any historic Capital Reorganisations follow these steps:


1. Click on the green 'Add Historic Capital Reorganisation' button.


2. This will bring up the below pop up box.



Note: To promote consistency the Transaction offers a dropdown list as follows:

3. Select the applicable transaction and then populate the rest of the details accordingly.


4. When done click on the green 'Save changes to Register' button.


5. The details of the historic capital reorganisations will then be added. 


To help you find the historic capital reorganisation after you have created them you will see the record marked 'RECENTLY UPDATED'.  This will disappear after a while but a permanent record that the details for this former shareholder have been added is denoted by the little green triangle in the corner of each of the editable columns.


Note: If say, following a share split there was no consideration paid simply put n/a.


6. If you let the cursor hover over any record which you have previously added ( i.e the ones with green corners) it will become highlighted and read 'Edit this record' as per the below.  If you want to edit the record simply click on it.


Note: Editing the Register of Capital Reorganisations does not update any other register nor does it send any message to Companies House.


When it comes to printing the Registers any details added in the above manner will be indistinguishable from details which are automatically included when the transaction is processed using Inform Direct.
