Providing the share option scheme has been added to Inform Direct you can begin to grant new share options.
If you have not yet created the Share option scheme: How do I add a new Share Option Scheme?
1. On the Shareholders tab there is a button on the right of the screen to Grant new options.
2. This opens the flow to enter the details of the options the company is granting. Here you can enter the date they were granted and confirm which scheme this relates to.
3. The date areas below this allow you to input the date the options are exercisable from (when the holders can first elect to exercise the options to buy shares) and the date the options expire (if there is no specific expiry date this can be blank.)
4. You will need to enter the price per share that the option holders will pay to the company to exercise each option. This should be entered in the exercise price per share field. If there is an amount paid per share on grant this should be entered in the box below.
The Market value per share at the date of grant is an optional field, as are the Requirements to be met before exercise.
5. You will then be asked to confirm who the options are going to, firstly selecting if it is an individual or corporate holder then adding their full details. This will include the option to add a designation, in most cases this is not required but if there is a particular reference needed it can be added.
6. You can then add the number of options and the total amount paid for grant will be calculated for you.
Note: The total amount paid relates to the information entered at step 4. The system will automatically calculate the total amount paid for grant, based on the amount paid per option and the number of options granted.
7. A summary of the information is then provided before you submit. Once submitted you will then be given a list of supporting documents which can be created.
Note: No submissions are made to HMRC from Inform Direct. A filing to Companies House will only be made when the options are exercised.
8. At the end of the process you will be given the opportunity to produce option certificates.
