Any share transfers processed after incorporation or after the last confirmation statement will only be recorded by Companies House when a Confirmation Statement (CS01) is submitted.

You would commonly file a Confirmation Statement (CS01) following a share transfer if:

  • a new shareholder would like their name to show on the public shareholder record; or
  • a former shareholder would like the fact that they are no longer a shareholder to be recorded.

Note: It is not a requirement to submit a Confirmation Statement after every share transfer and it is perfectly acceptable to hold off filing the CS01 until it becomes due.

In any event, Inform Direct will remember all share transfers and whenever a confirmation statement is submitted, it will aggregate all the transfers and communicate the correct position to Companies House including any nil holdings.

Remember: You can submit Confirmation Statements more frequently than once a year. and you will only need to pay the Companies House filing fee once every 12 months.
